1. Introduction
These Terms and Conditions (“Terms”) govern your use of the services provided by SkyHighT Ltd. (“we,” “us,” “our”), accessible at https://skyhightltd.uk/. By engaging our services, you (“the Client,” “you,” “your”) agree to be bound by these Terms. If you do not agree to these Terms, you must not use or purchase our services.
2. Services Provided
SkyHighT Ltd. provides managed IT services, cybersecurity, cloud solutions, IT consulting, and related technical support (“Services”). The specific scope, deliverables, and service level agreements (SLAs) for your engagement will be detailed in a separate Service Agreement, Proposal, or Statement of Work (“Service Document”).
3. Client Responsibilities
The Client agrees to:
a. Provide necessary access to systems, networks, and premises required for us to perform the Services.
b. Designate a primary point of contact for efficient communication.
c. Maintain adequate and secure backups of all data before we begin work.
d. Ensure all software licenses are valid and up-to-date.
e. Use our services in compliance with all applicable laws and regulations.
4. Fees and Payment
a. Fees: Fees for Services are as outlined in the Service Document. We may use a recurring monthly billing model for ongoing services.
b. Payment Terms: Invoices are due within 14 days of the invoice date, unless otherwise agreed. Late payments may be subject to interest charges of 1.5% per month.
c. Expenses: The Client will reimburse pre-approved reasonable expenses incurred in providing the Services.
5. Data Protection and Privacy
Both parties will comply with all applicable data protection laws, including the UK GDPR and Data Protection Act 2018. Our Privacy Policy, available on our website, details how we handle personal data. As your IT provider, we are a Data Processor, and you remain the Data Controller.
6. Intellectual Property
a. We retain all intellectual property rights in our pre-existing software, tools, methodologies, and documentation.
b. Upon full payment, the Client receives a license to use any custom-developed software or deliverables created specifically for them as part of the Services.
7. Limitation of Liability
a. Our total liability to the Client, whether in contract, tort (including negligence), or otherwise, shall be limited to the total fees paid by the Client to us in the six (6) months preceding the event giving rise to the claim.
b. We shall not be liable for any indirect, special, or consequential damages, including loss of profits, revenue, data, or business opportunity, even if advised of the possibility of such damages.
c. This limitation reflects the allocation of risk between the parties and is a fundamental basis of our agreement.
8. Confidentiality
Both parties agree to keep confidential all non-public information exchanged during the course of this agreement and not to disclose it to any third party without the other’s prior written consent, except as required by law.
9. Termination
a. Either party may terminate a Service Document for material breach by the other party with 30 days’ written notice, provided the breach is not cured within that period.
b. For ongoing services, either party may terminate with 30 days’ written notice.
c. Upon termination, the Client must pay all outstanding fees for Services rendered.
10. Warranties and Disclaimers
We warrant that Services will be performed with reasonable skill and care. However, we do not guarantee that our services will be uninterrupted or error-free. The Services are provided “as is,” and we disclaim all other warranties, express or implied.
11. Indemnification
The Client agrees to indemnify and hold SkyHighT Ltd. harmless from any claims, damages, or losses arising from the Client’s breach of these Terms, misuse of the Services, or violation of any law.
12. Third-Party Products
We may recommend or support third-party hardware, software, or services (e.g., Microsoft, Google, AWS). All such products are governed by their own respective terms and licenses, and we are not liable for their performance or security.
13. Governing Law and Jurisdiction
These Terms and any disputes shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on our website, and continued use of our Services constitutes acceptance of the new Terms.
